The Proposed Acquisition, including the purchase consideration, will be negotiated between the parties within 60 days from the date of the LOI based on the results of the due diligence exercise carried out by the Company on FCSISB and shall be subject to the terms and conditions of the definitive agreement(s) between the parties which may or may not be entered into in relation to the Proposed Acquisition.
