Sports Toto Acquires 7-Eleven And BFood Listed Shares Worth RM38 Million

Sports Toto Berhad through its subsidiary, Magna Mahsuri Sdn Bhd had acquired listed shares in BFood and 7-Eleven via direct business transactions for a total cash consideration of about RM38.78 million.

The gaming company bought 17,525,300 ordinary shares representing about 1.58% equity interest in 7-Eleven Malaysia Holdings Berhad for a total cash consideration of about RM34.53 million or at RM1.97 per SEM Share and 7,463,600 ordinary shares representing about 0.43% equity interest in Berjaya Food Berhad for a total cash consideration of about RM4.25
million or at RM0.57 per BFood Share.

Following the Acquisitions, SPToto and its subsidiaries now hold a total of about 25.42 million SEM Shares representing about 2.29% equity interest in SEM, and a total of about 7.46 million BFood Shares representing about 0.43% equity interest in BFood.

The total cash consideration for the Acquisitions was arrived at after taking into consideration the prevailing market prices of the Acquisition Shares at the time of acquisitions. The Acquisition Shares were acquired free and clear of all liens, charges and claims of any kind or restriction together with all rights attached thereto.

The Acquisitions were funded through internal funds of the SPToto Group, the acquisitions it said represented an opportunity for the group to invest in SEM and BFood.

Berjaya Corporation Berhad is a major shareholder of SPToto, SEM and BFood. Dato’ Sri Robin Tan Yeong Ching (“Dato’ Sri Robin”) is the Chairman cum Executive Director and a shareholder of SPToto. Ms. Nerine Tan Sheik Ping (“Ms. Nerine Tan”) is the Chief Executive Officer cum Executive Director of SPToto and a sister of Dato’ Sri Robin. Dato’ Sri Robin and Ms. Nerine Tan’s father, Tan Sri Dato’ Seri Vincent Tan Chee Yioun is a shareholder of SPToto and a major shareholder of SEM.
