Sunway Berhad To Acquire 40% Stake In Engie Sunway For RM11 Million

Sunway Bhd has announced that its indirect subsidiary, Sunway Property & Facility Management, will acquire a 40% equity stake in ENGIE-Sunway DCS Sdn Bhd from Sunway SK Sdn Bhd for RM10.98 million.

In a filing with Bursa Malaysia, Sunway said Sunway PFM signed a share sale agreement with Sunway SK on 12 September 2025 for the acquisition of 10,983,240 ordinary shares in ENGIE-Sunway DCS. The shares will be acquired free from encumbrances and with all rights attached.

The deal is categorised as a related party transaction under Bursa Malaysia’s Main Market Listing Requirements, as both Sunway SK and Sunway PFM are subsidiaries within the Sunway group.

Sunway PFM, a wholly-owned unit of Sunway City Sdn Bhd (itself wholly owned by Sunway), is primarily engaged in property and facility management.

Sunway SK is a wholly-owned subsidiary of Sunway Construction Sdn Bhd, which is part of Sunway Construction Group Bhd (SunCon). Sunway holds a 53.5% equity interest in SunCon via Sunway Holdings Sdn Bhd.ENGIE-Sunway DCS is currently a joint venture between ECM Cooling Sdn Bhd (60%) and Sunway SK (40%). Upon completion of the acquisition, Sunway PFM will directly hold the 40% stake.

Sunway said the acquisition is in line with Sunway PFM’s long-term strategic business expansion plan, allowing the group to strengthen its core capabilities in facility management and generate stable, recurring income.
