Kumpulan Jetson Berhad announced the completion of an independent comprehensive forensic review conducted by BDO Governance Advisory Sdn Bhd into specific disputed payment transactions at the Group, as well as the governance, implementation and execution of its Employees’ Share Option Scheme undertaken in or around June 2025.
BDO Governance Advisory Sdn Bhd was appointed by the Board of Directors as an independent forensic practitioner to review both matters and has issued its forensic report to the Board.
The matters reviewed relate to transactions and processes undertaken before the current Board composition was established in September 2025. The completion of the independent review provides the current Board with a factual basis to initiate appropriate measures in addressing the required legacy, legal and governance actions.
The forensic report identified the transactions were previously effected without adequate supporting documentation, clear commercial rationale or proper approval. The payments were initiated and released primarily without sufficient independent verification, documented approvals or adherence to the Group’s established internal procedures.
The new management has also been informed that the pre-restructuring ESOS scheme was not implemented in accordance with the applicable laws and regulatory requirements
