Kim Hin Joo Shares To Be Suspended On Aug 26 Ahead Of Internal Reorganisation

Trading in the shares of Kim Hin Joo (Malaysia) Bhd will be suspended from 9am on Aug 26, 2026, to facilitate the implementation of the company’s proposed internal reorganisation through a share exchange.

The suspension will take effect one day before the entitlement date for the share exchange, which has been set at 5pm on Aug 27, 2026.

The exercise will see newly incorporated Arvex Holdings Bhd emerge as the holding company of KHJB following the completion of the internal reorganisation. Arvex was established specifically to facilitate the exercise and will subsequently assume the listing status of KHJB.

The internal reorganisation was first announced on Oct 10, 2025, when KHJB, through its adviser UOB Kay Hian Securities (UOBKH), announced that it had entered into a scheme agreement with Arvex.

As part of the exercise, shareholders of KHJB will exchange their existing shares for shares in Arvex, following which KHJB shares will be delisted from Bursa Malaysia.

On Jan 19, 2026, the High Court granted an order for the convening of a court-convened meeting (CCM) to consider and vote on the scheme of arrangement.

Subsequently, Bursa Malaysia Securities approved Arvex’s admission to the Official List, as well as the listing and quotation of its entire enlarged issued share capital comprising 380,000,002 shares on the ACE Market under the Consumer Products & Services sector.

Upon completion of the reorganisation, Arvex will assume KHJB’s existing stock code and International Securities Identification Number (ISIN), while its stock short name will be changed to “ARVEX”.

KHJB shareholders subsequently approved the internal reorganisation at the CCM and extraordinary general meeting held on April 16, 2026.

The High Court then sanctioned and approved the scheme of arrangement under Section 366 of the Companies Act 2016 on June 24, 2026.

The share exchange will become effective upon the lodgement of the sealed court order with the Registrar of Companies.

In its latest announcement, KHJB said the entitlement date for shareholders to participate in the share exchange has been fixed at 5pm on Aug 27, 2026.

The temporary suspension of trading is intended to facilitate the implementation of the share exchange, with further details set out in the company’s Aug 11 announcement and notice to shareholders dated Aug 12.

KHJ manages multiple brands including Mothercare and other baby products.
