A former director of Teluk Sepangar Quarry Sdn Bhd has pleaded not guilty to a charge under the Companies Act 2016 over an alleged RM165,000 payment made to another company in which he was also a director.
According to a statement by the Companies Commission of Malaysia (SSM), Tan Kian Kok claimed trial at the Sessions Court on Aug 10 to one charge under Section 218(1)(c) of the Companies Act 2016.
Based on the charge sheet, Tan allegedly used his position as a director of Teluk Sepangar Quarry without the consent or ratification of a general meeting of the company to approve the payment of RM165,000 to Viva Mekar Sdn Bhd.
SSM said the alleged transaction was intended to confer an indirect benefit as Tan was also a director of Viva Mekar.
If convicted, he faces punishment under Section 218(2) of the same Act, which provides for imprisonment of up to five years, a fine of up to RM3 million, or both.
Sessions Court Judge Siti Shakirah Dato’ Wira Mohtarudin allowed bail of RM7,000 with one surety.
The court fixed Sept 21 for mention of the case and for the prosecution to hand over documents.
