MKH Shareholders Now Have Until Oct 8 To Accept Batu Kawan Takeover Offer

MKH Bhd shareholders now have until 5pm on Oct 8, 2026, to accept Whitmore Holdings Sdn Bhd’s RM2-per-share takeover offer, after the Batu Kawan Bhd unit extended the closing date from Sept 17.

In a Bursa announcement, Maybank Investment Bank Bhd (Maybank IB), acting on behalf of Whitmore and ultimate offeror Batu Kawan, said all other terms and conditions of the offer remain unchanged.

The unconditional mandatory takeover offer is for all remaining voting shares in MKH not already owned by Whitmore and Batu Kawan, at a cash offer price of RM2 per share.

As at 5pm on Sept 14, Whitmore, Batu Kawan and parties acting in concert collectively held 519.3 million MKH shares, representing 90.04% of the company’s issued shares excluding treasury shares.

This included 294.22 million shares, or 51.01%, held as at Aug 27, valid acceptances amounting to 217.08 million shares, or 37.64%, and another eight million shares, or 1.39%, acquired or agreed to be acquired after the offer document was posted.

A further 9.6 million shares, representing 1.66%, had been tendered for acceptance but were still subject to verification.

Maybank IB said Whitmore and Batu Kawan do not intend to maintain MKH’s Main Market listing after the offeror, ultimate offeror and parties acting in concert collectively crossed the 90% ownership threshold.

“Bursa Securities is expected to suspend trading in MKH shares after the expiry of five market days from the final closing date of the offer.

“Whitmore and Batu Kawan will subsequently procure MKH to take the necessary steps to withdraw its listing status from Bursa Malaysia’s Official List in accordance with listing requirements,” Maybank IB added.

Nevertheless, the offer will remain open until 5pm on Oct 8, unless it is extended again, and any further extension will be announced at least two days before the revised closing date.
