Sunway Healthcare Holdings Bhd has entered into a sale and purchase agreement (SPA) to acquire a 2.1-acre freehold land parcel in Seremban, Negeri Sembilan, for RM10.79 million to develop and operate a medical centre.
The listed entity said its 99.9%-owned subsidiary, Sunway Medical Centre Sdn Bhd, signed the agreement with Sunway Sentral Seremban Sdn Bhd, formerly known as Sunway Bukit Gambier Sdn Bhd.
The vendor is a 70%-owned subsidiary of Sunway City Sdn Bhd, which is wholly owned by Sunway Bhd, making the proposed acquisition a related-party transaction.
The agreement follows Sunway Medical Centre’s acceptance of a letter of offer dated May 4, 2026, which was announced on May 20. The SPA supersedes the earlier letter of offer.
The land forms part of a larger freehold parcel in Bandar Seremban and will be acquired free from encumbrances.
Under the agreement, Sunway Medical Centre is required to develop and operate a medical centre as the land’s primary use, subject to the relevant planning and regulatory approvals, including those from the Ministry of Health.
The group has also undertaken to commence construction within three months of receiving approval for its building plans, provided early vacant possession of the land has been delivered, or within any mutually agreed extension.
The healthcare group also recently broke ground for a medical centre in Johor for RM800 Million located in Iskandar Puteri.
