Impact Capital Holdings Bhd has signed an underwriting agreement with Public Investment Bank Bhd (PublicInvest) for its proposed ACE Market listing.
The company’s IPO exercise comprises a public issuance of 96.69 million new shares and an offer for sale of 28.62 million existing shares.
Of the new shares, 24 million shares, representing 5% of the enlarged issued share capital, will be made available to the Malaysian public.
Another 16 million shares, or about 3.33%, will be allocated to eligible individuals, while 56.69 million shares, or about 11.81%, will be placed out to selected investors.
Separately, the offer for sale will involve 28.62 million existing shares, equivalent to about 5.96% of the enlarged issued share capital, through a private placement to selected investors.
Under the agreement, PublicInvest will underwrite 40 million shares, comprising 24 million shares earmarked for the Malaysian public and 16 million shares allocated to eligible individuals.
Impact Capital Managing Director Winston Chai Fung Chun said the listing would give the company a platform to expand its operational footprint, strengthen its workforce and business development capabilities and enhance its technology offerings, including through its planned digital innovation and solutions centre.
“Proceeds from the IPO are intended to fund office expansion, workforce and business development initiatives, technology capabilities, working capital and listing expenses,” Chai added.
Impact Capital, which provides information and communications technology integration solutions for critical infrastructure, has more than 20 years of experience in ICT integration, with solutions spanning telecommunications infrastructure, enterprise networks, data centres, security systems and digital twin technologies, alongside ICT hardware, software, maintenance and managed network services.
PublicInvest is the principal advisor, sponsor, sole underwriter and sole placement agent for the IPO.
