SDS Group Berhad announced that its indirect wholly-owned subsidiary, SDS Top Baker Sdn Bhd, has entered into agreements to acquire factories and assets from Mamee Bakery Sdn Bhd for a total purchase consideration of RM28 million.
The deal comprises two components basically, SDS Top Baker will purchase seven parcels of land with factories in Mukim Plentong, Johor Bahru, for RM26 million. And also acquire production lines, machinery, equipment, registered trademarks, and production know-how associated with the factories for RM2 million.
The assets include full production lines for London/Tora Swiss Roll, layer cakes, and bear cakes, as well as Mamee’s bakery-related recipes, formulas, and proprietary processes. The acquisition also covers the transfer of trademarks and goodwill linked to these products.
The Johor-based group, which manufactures and distributes bakery products in addition to operating F&B outlets, said the acquisition aligns with its long-term growth strategy by strengthening manufacturing capacity, enhancing operational scalability, and supporting expansion into new product segments.
“This acquisition positions SDS to better meet rising customer demand and adapt to evolving consumer preferences, while consolidating its foothold in the bakery market,” the group said in a filing.
The transaction is part of SDS’s broader investment objectives to scale up production capabilities and secure sustainable growth in Malaysia’s highly competitive food and beverage sector.
