Key ASIC Bhd has entered into a memorandum of understanding (MOU) with Hong Kong-listed CT Vision (International) Holdings Ltd to explore the joint development and construction of a large-scale Green AI data centre in Malaysia with a targeted IT load capacity of about 300 megawatts (MW).
In a Bursa Malaysia filing, Key ASIC said the MOU, signed on Sept 4, will see both parties collaborate on a project integrating high-performance artificial intelligence (AI) computing infrastructure with green energy facilities.
The proposed development targets an aggregate IT load capacity of approximately 300MW within five years from its commercial operation date, with a design power usage effectiveness (PUE) of no more than 1.20.
The project is also targeting at least 50% of its energy requirements from green energy sources.
Key ASIC said the proposed development is aimed at combining green energy infrastructure with advanced AI computing capabilities and could potentially generate recurring income for the group over the coming years.
Key ASIC To Provide Chip And Energy-Efficiency Expertise
Under the proposed collaboration, Key ASIC will leverage its existing energy-efficient chip technology, chip-design capabilities, power-management solutions and related technical expertise.
Subject to applicable laws, export controls, third-party rights and subsequent definitive agreements, the company will provide technical support covering the planning, design, construction, deployment and operation of the Green AI data centre.
Its role will also extend to optimising the facility’s energy efficiency.
CT Vision, meanwhile, is listed on the Main Board of the Hong Kong Stock Exchange and has experience in international financing, resource integration and business development.
Its new-energy capabilities cover photovoltaic and wind power, natural gas, biomass and energy-saving technologies for green data centres.
Key ASIC stressed that detailed commercial and technical terms for the project have yet to be finalised.
Matters including pricing, payment schedules, liquidated damages, force majeure thresholds and termination rights will be governed by separate agreements to be negotiated and entered into by the parties.
Each company will retain ownership of its existing intellectual property, while ownership and commercialisation arrangements for intellectual property jointly developed under the collaboration will be determined in subsequent agreements.
Intellectual property developed specifically by Key ASIC for the construction or optimisation of the Green AI data centre will be licensed to CT Vision on a perpetual, royalty-free and non-exclusive basis for use in connection with the project.
The MOU will remain in force for an initial 10-year period and may be renewed by mutual written agreement.
Either party may terminate the MOU by providing 12 months’ prior written notice, subject to its terms and without affecting any specific agreements already in force.
The proposed 300MW development would add to Malaysia’s expanding pipeline of data centre infrastructure, with the project differentiated by its planned integration of AI computing capacity and green energy infrastructure.
Key ASIC said the collaboration is expected to position the company to participate in growing demand for energy-efficient computing infrastructure as AI workloads become increasingly power-intensive.
