Bursa Publicly Reprimands Techna-X Over Financial Reporting Delay

Bursa Malaysia Securities Bhd has publicly reprimanded Techna-X Bhd for breaches of the Main Market Listing Requirements relating to the delayed issuance of its 2025 annual report and inaccuracies in its sixth quarterly financial report.

The stock exchange regulator said Techna-X failed to issue its annual report, which included the audited financial statements and auditors’ and directors’ reports for the 18-month financial period ended Dec 31, 2025, by the required deadline of April 30, 2026.

The company eventually issued the annual report on May 8, representing a delay of five market days and a breach of Paragraph 9.23(1) of the Main Market Listing Requirements.

Bursa Malaysia Securities said that despite the relatively short delay, investors had been deprived of Techna-X’s audited financial information for an extended period of more than 18 months.

The delay was mainly attributed to the company’s failure to maintain or provide the necessary information, documents and accounting records to its external auditors in time for the audit to be completed within the stipulated timeframe.

Techna-X was also reprimanded for failing to ensure its sixth quarterly report for the financial period ended Dec 31, 2025, announced on Feb 27, took into account adjustments that were subsequently disclosed by the company on May 14.

The company’s audited financial statements eventually showed a loss attributable to owners of RM29.26 million, compared with the unaudited loss of RM23.58 million reported in its sixth quarterly results.

This represented a difference of RM5.68 million, or 24.1%.

Techna-X subsequently explained that the deviation arose from additional audit adjustments recognised during the finalisation of its audited financial statements.

Beyond the public reprimand, Bursa Malaysia Securities imposed several remedial requirements on Techna-X.

The company must have its external auditors conduct a limited review of four quarterly report submissions, beginning no later than the quarterly report for the financial period ended Sept 30, 2026.
