Petronas Gas Files Application To High Court For Proposed Internal Reorganisation

Petronas Gas Bhd has filed an application with the High Court of Malaya in Kuala Lumpur seeking approval for its proposed internal reorganisation, including the transfer of three core business segments into separate subsidiaries.

The company said the court papers were filed on Sept 15, 2026, following shareholder approval of the scheme of arrangement at a court-convened meeting held on Feb 12.

Under the proposed restructuring, Petronas Gas is seeking the High Court’s approval for the scheme as well as the transfer and/or vesting of its gas processing, gas transportation and utilities businesses into separate entities.

The gas processing business will be transferred to PG Gas Processing Sdn Bhd, while the gas transportation business will be placed under PG Transco Sdn Bhd.

The utilities business will be transferred to PG Utilities East Sdn Bhd.

The proposed reorganisation is being undertaken pursuant to Sections 366 and 370 of the Companies Act 2016.

Petronas Gas has been progressing the internal restructuring since it was first announced in October 2025, with shareholders subsequently approving the scheme earlier this year.

The company said further developments on the proposed internal reorganisation will be announced in due course.
